These Terms of Use (“Terms”) govern your access to and use of the website located at https://us.efferon.com and any related pages, content, and services that link to these Terms (collectively, the “Site”), operated by Efferon U.S. Corporation, a Delaware corporation and wholly owned subsidiary of Efferon AG, Hans-Gasser-Platz 6b, 9500 Villach, Austria (“Efferon”, “we”, “us”, or “our”).

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy and Cookie Policy, which are incorporated by reference. If you do not agree, you must not access or use the Site.

1. Who May Use the Site

The Site is intended for use by healthcare professionals, hospital and clinical institutions, research collaborators, distribution and commercial partners, investors, regulators, and members of the press located in jurisdictions where the Site and the information it contains may lawfully be made available.

The Site is not intended for use by patients seeking medical advice. By using the Site, you represent that you are at least 18 years of age and that your use of the Site does not violate any applicable law or regulation.

2. Important Information About Our Products

Efferon develops extracorporeal blood purification devices for use by qualified healthcare professionals. Efferon LPS and Efferon NEO are CE-marked in the European Union under Regulation (EU) 2017/745 (the EU Medical Device Regulation).

Certain products and claims described on this Site may not be cleared or approved by the U.S. Food and Drug Administration (“FDA”) and may not be available for sale in the United States. Any references to clinical performance, indications, or availability relate to the jurisdictions in which a product has obtained regulatory clearance and is being marketed. Nothing on the Site constitutes an offer to sell, or a solicitation of an offer to buy, any product in any jurisdiction where such offer or solicitation would be unlawful.

Always refer to the product’s official Instructions for Use (“IFU”) and labeling for the jurisdiction in which the product is being used. In the event of any conflict between Site content and the IFU, the IFU controls.

3. No Medical Advice

The content on the Site is provided for general informational and educational purposes only. It is not intended to be, and should not be relied on as, medical advice, professional advice, a substitute for the judgment of a qualified healthcare professional, or a recommendation for any particular treatment, therapy, or course of action.

Any other use — including reproduction, modification, distribution, public display, framing, scraping, or use of automated tools to extract data — requires our prior written consent.

• attempt to gain unauthorized access to the Site, any related systems, or any account or data of another user;
• interfere with or disrupt the integrity or performance of the Site;
• use the Site to harvest personal information about other users;
• engage in any conduct that is defamatory, harassing, fraudulent, or otherwise objectionable; or
• frame, mirror, or copy substantial portions of the Site without our written consent.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT ON THE SITE, AND CLINICAL DATA REFERENCED ON THE SITE REFLECTS THE STUDIES AS PUBLISHED AND MAY NOT REFLECT THE MOST CURRENT EVIDENCE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL EFFERON, ITS AFFILIATES, OR THEIR DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT EFFERON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL EFFERON’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In those jurisdictions, our liability is limited to the maximum extent permitted by applicable law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Efferon, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with (i) your access to or use of the Site, (ii) your violation of these Terms, or (iii) your violation of any third-party right, including any intellectual property or privacy right.

11. Changes to the Site and Terms

We may modify, suspend, or discontinue the Site (or any portion of it) at any time, with or without notice. We may also revise these Terms from time to time. When we do, we will update the “Last updated” date at the top. Material changes will be communicated as required by applicable law (for example, by posting a notice on the Site). Your continued use of the Site after the changes take effect constitutes your acceptance of the revised Terms.

12. Governing Law and Disputes

These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Subject to applicable law, the state and federal courts located in the State of Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site, and you consent to the personal jurisdiction of those courts and waive any objection to venue. Nothing in this Section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

If you are a consumer accessing the Site from the European Economic Area, the United Kingdom, or another jurisdiction with mandatory consumer protection laws, you may have additional rights under your local law that cannot be displaced by these Terms.

13. Miscellaneous

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Efferon regarding your use of the Site. Our failure to enforce any provision is not a waiver of that provision. If any provision is held to be unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. You may not assign these Terms without our written consent; we may assign them at our discretion. There are no third-party beneficiaries to these Terms.
